Investigations of Possible Wrongdoing at GPB Capital
Our litigators have written before about risks associated with private placement investments. [1] Private placements are offerings of unregistered securities companies use to raise capital. Private placements are subject to regulation by the U.S. Securities and Exchange Commission (SEC) under the Securities Act of 1933, 15 U.S.C. §§ 77a et seq. The SEC’s Regulation D governs how these offerings are sold and the reporting and accounting practices that apply to them. 17 C.F.R. §§ 230.500 et seq. Currently, attorneys, regulators and investors are investigating the private placements and accounting practices of GPB Capital Holdings, LLC (“GPB Capital”) and certain of its officers.

- GPB Scientific, LLC
- GPB Waste Management, LP (formerly GPB Waste Management Fund, LP)
GPB Capital reportedly raised more than $1.5 billion in capital held in these various private limited partnerships and funds which invest primarily in automobile dealerships and waste management businesses. Matters under investigation reportedly include GPB Capital’s accounting practices, audit history, and alleged irregularities in the Company’s books and records. GPB Capital is reportedly the subject of investigations by various federal and State regulators.
